By engaging with our software or services, you agree to be bound by the following terms.<\/p><h5>1. Definitions<\/h5><ul><li><b>&#8220;Company,&#8221; &#8220;We,&#8221; &#8220;Our&#8221;<\/b>\u00a0refers to Technovisers.<\/li><li><b>&#8220;Client,&#8221; &#8220;You,&#8221; &#8220;Your&#8221;<\/b>\u00a0refers to the individual or organization using our services.<\/li><li><b>&#8220;Services&#8221;<\/b>\u00a0includes all software development, web\/app development, consulting, maintenance, and support provided by the Company.<\/li><\/ul><h5>2. Scope of Services<\/h5><p>We provide software solutions including, but not limited to:<\/p><ul><li>Custom software development<\/li><li>Web and mobile application development<\/li><li>UI\/UX design<\/li><li>Software maintenance and support<\/li><li>API development and integration<\/li><\/ul><p>All work will be outlined in a mutually agreed Statement of Work (SOW) or project proposal.<\/p><h5>3. Payment Terms<\/h5><ul><li>Invoices will be raised according to the payment schedule agreed in the proposal or contract.<\/li><li>Payment is due within\u00a0<b>10 days<\/b>\u00a0of the invoice date unless otherwise agreed.<\/li><li>Late payments may incur a penalty of\u00a0<b>10% per month<\/b><\/li><\/ul><p>All work will be outlined in a mutually agreed Statement of Work (SOW) or project proposal.<\/p><h5>4. Intellectual Property<\/h5><ul><li>All intellectual property created during the project shall remain the property of the Company until full payment is received.<\/li><li>Upon full payment, the source code and associated deliverables will be transferred to the Client, unless otherwise agreed.<\/li><\/ul><h5>5. Confidentiality<\/h5><p>Both parties agree to maintain the confidentiality of proprietary information and shall not disclose such information to any third party without prior written consent.<\/p><h5>6. Client Responsibilities<\/h5><p>The Client agrees to:<\/p><ul><li>Provide timely feedback and approvals<\/li><li>Supply all necessary content and materials<\/li><li>Ensure all required access and resources are available<\/li><\/ul><h5>7. Limitation of Liability<\/h5><p>The Company will not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our software or services.<\/p><h5>8. Termination<\/h5><p>Either party may terminate the agreement with\u00a0<b>30 days<\/b>\u00a0written notice. The Client is responsible for payment of all work completed up to the termination date.<\/p><h5>9. Warranties<\/h5><ul><li>We offer a warranty period of\u00a0<b>30 days<\/b>\u00a0post-deployment for bug fixes and minor changes.<\/li><li>The warranty does not cover third-party services or Client-modified code.<\/li><\/ul><h5>10. Governing Law<\/h5><p>This agreement shall be governed by the laws of\u00a0<b>Mohali (India)<\/b>, and any disputes shall be subject to the exclusive jurisdiction of the courts in that region.<\/p><h5>11. Amendments<\/h5><p>These Terms may be updated at any time.
